Terms of Service & End-User License Agreement

Effective October 11, 2026. These terms are an agreement between you (the business using Sovun Assistant, and the people you give access to) and Sovun Technologies, a Maine business ("Sovun", "we", "us"). By signing in to or using Sovun Assistant, you agree to them. If you don't agree, don't use the service.

1. What Sovun Assistant is

Sovun Assistant is a back-office automation service. It connects to the business tools you choose — for example your email, calendar, and accounting software such as QuickBooks — and prepares drafts (replies, estimates, invoices, reorders, summaries) for you to review. Nothing is sent to a customer, posted to accounting, purchased, or scheduled until someone on your account approves it.

2. Your license

While your plan is active and you follow these terms, we give you a limited, non-exclusive, non-transferable right to use Sovun Assistant, its client portal, and any connector software we provide (such as a QuickBooks Web Connector file) for your own internal business operations.

You may not: resell or rent access to the service; copy, modify, or reverse-engineer it except where the law expressly allows; use it to break the law or send spam; try to get into accounts or data that aren't yours; or interfere with how the service runs.

3. Your account and your approvals

• You're responsible for the people you give access to and for keeping sign-in details private.
• You make the decisions. Drafts can contain mistakes — wrong prices, quantities, names, or dates. Review each one before you approve it. Once you approve an action, it's your action.
• Tell us right away at [email protected] if you think your account has been used without permission.

4. Connected tools (including QuickBooks)

You choose which tools to connect and can disconnect them at any time. When you connect one, you authorize us to access it on your behalf only to provide the service. Where you've set a connection to read-only, we only read. Connected tools are run by other companies under their own terms; we aren't responsible for their availability or changes they make. QuickBooks is a trademark of Intuit Inc.; Sovun Assistant is not made or endorsed by Intuit.

5. Your data

Your business data stays yours. You give us permission to store and process it only to run the service for you, to support you, and to keep the service secure. We don't sell it. How we handle it is described in our Privacy Policy, which is part of these terms. When you leave, you can ask for an export of your data, and we'll delete it as described there.

6. Plans, fees, and cancellation

Plans are month to month at the prices on our pricing page or in your written quote. Setup fees cover the work of building Sovun around your business and are due as quoted. You can cancel any time; your plan runs to the end of the period you've paid for. We may change prices with at least 30 days' notice by email.

7. Availability and changes

We work to keep Sovun Assistant available, but we don't promise it will be uninterrupted or error-free, and we may need maintenance windows. We may improve or change features; if a change significantly reduces what you're paying for, you can cancel and we'll refund any unused prepaid fees.

8. Disclaimer

Except as written in these terms, the service is provided "as is." To the extent the law allows, we disclaim implied warranties such as merchantability, fitness for a particular purpose, and non-infringement. Sovun Assistant is not a substitute for an accountant, lawyer, or other professional.

9. Limit of liability

To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, or consequential damages, or lost profits or revenue. Our total liability for any claim relating to the service is limited to the amount you paid us for it in the 12 months before the claim arose.

10. Ending the agreement

You can stop using the service and cancel at any time. We may suspend or end access if you seriously or repeatedly break these terms, or if needed to protect the service or other customers; where we can, we'll warn you first and give you a chance to export your data.

11. General

These terms are governed by the laws of the State of Maine, and any dispute will be handled in the state or federal courts located in Maine. If we update these terms, we'll post the new version here with a new effective date and email account owners about material changes. If any part of these terms can't be enforced, the rest still applies.
